Offer and Conclusion of Contract
Orders we receive from the customer are always custom-made, one-of-a-kind products. Therefore, the customer has no right to return the goods unless this right was granted in writing at the time the contract was concluded.
Confidentiality Agreement
We reserve all rights of ownership and copyright to all production details that become known to the customer in connection with the placement of the order (such as workshop methods, design data, material treatments and compositions, or paint formulations). Any knowledge acquired by the customer in this regard—for example, through a visit to the workshop—must not be disclosed to third parties.
Prices and Payment
Our prices include sales tax. Delivery and shipping costs are not included in our prices.
Payment of the purchase price must be made exclusively to the account specified on our invoices. No cash discount may be applied.
Unless otherwise agreed, the purchase price is due within 14 days of delivery. Interest on late payments will be charged at a rate of 5% above the applicable base rate per annum. We reserve the right to claim higher damages for late payment.
Delivery Time
Unless an expressly binding delivery date has been agreed upon, our delivery dates and delivery periods are provided for informational purposes only and are not binding.
Retention of Title
We reserve title to the purchased goods until all amounts due under the sales contract have been paid in full.
The purchaser is obligated to treat the purchased item with care as long as ownership has not yet been transferred to him. In particular, the purchaser is obligated to insure the item at their own expense against theft, fire, water damage, and accidents, with coverage sufficient to cover the replacement value. If maintenance or inspection work is required, the purchaser must have it performed in a timely manner at their own expense exclusively by the Martin Schleske Master Violin Workshop.
The purchaser is not permitted to have any modifications of any kind made to the purchased item—in particular by other violin makers—or to make such modifications himself, as long as ownership has not yet been transferred to him. In particular, no modifications may be made to the bridge, the sound post, or the strings until ownership has been transferred to the purchaser.
Warranty
The warranty period is generally 2 years, calculated from the date of delivery. If a defect becomes apparent within the limitation period, the limitation period does not expire until four months have elapsed from the date on which the defect first became apparent.
Miscellaneous
This Agreement and all legal relationships between the parties are governed by the laws of the Federal Republic of Germany, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If any provision of this contract is or becomes invalid or contains a loophole, the remaining provisions shall remain unaffected.
